Terms of Sale Agreement

Nature of Services

Manifest Content Solutions provides writing coaching, manuscript development, editorial services, creative consulting, and related professional services. Services are customized based on the product purchased, written communications, and agreed deliverables. Creative services are subjective in nature and require collaboration, flexibility, and good faith participation from both parties. No service includes publishing representation, legal advice, or guaranteed commercial outcomes unless expressly stated in writing.

Payment
Terms

Pricing is listed on the applicable product page or invoice. Payments may be made in CAD, USD, or GBP through PayPal, Interac e-Transfer, or Payoneer, unless otherwise specified. Clients are responsible for any transfer or currency conversion fees charged by their financial institution. Unless otherwise agreed in writing, invoices are payable within fourteen calendar days of issue. If payment becomes more than seven days overdue, services may be paused immediately and delivery timelines adjusted accordingly.

Deposits

Where applicable, a non-refundable deposit is required before work begins. Deposits secure booking time, scheduling priority, and administrative preparation. Work will not commence until payment has cleared. If a Client chooses to terminate services after a deposit has been paid, the deposit remains non-refundable.

Refund Policy

Because creative services involve allocated time and intellectual labour, refunds are limited. Refund requests must be submitted within twenty-one calendar days of payment and may require a review discussion prior to consideration. Refunds, if granted, are issued at the sole discretion of the Contractor and may be provided as a partial monetary refund or service credit. Completed sessions and delivered materials are non-refundable.

Scheduling & Cancellations

Sessions must be rescheduled with at least twenty-four hours’ notice. Sessions canceled or rescheduled with less than twenty-four hours’ notice may be subject to forfeiture of the session fee or a rescheduling charge. No-shows are non-refundable. The Contractor’s regular working hours are Monday through Friday, 8:00 AM to 4:00 PM Pacific Time, excluding Canadian statutory holidays unless otherwise agreed in writing.

Client Responsibil-ities

All prices are listed in Canadian Dollars (CAD) and exchange rates may apply. Clients agree to communicate respectfully, provide necessary materials and feedback in a timely manner, attend scheduled meetings punctually, and provide clear direction and decision-making authority for their project. The Client acknowledges that project progress depends on active participation and reasonable responsiveness.

Client Default & Non-
Responsiveness

If a Client becomes unresponsive for more than fourteen consecutive days without notice, repeatedly fails to provide required materials or approvals, fails to meet agreed responsibilities, or engages in unprofessional conduct, the Contractor may pause services, adjust timelines, or terminate the agreement immediately without refund of deposits. If a project remains inactive due to Client inaction for more than thirty days, it may be deemed abandoned and require a new agreement to resume work.

Scope
Changes

Requests for work outside the agreed scope may require adjusted pricing, revised timelines, or both. Any changes must be confirmed in writing, including via email, before additional work is undertaken. Email confirmations are considered binding for invoicing and delivery purposes.

Intellectual Property

All drafts, materials, templates, frameworks, recordings, and creative work remain the property of the Contractor until full payment is received. Upon full payment, ownership of final deliverables transfers to the Client. The Contractor retains the right to use underlying methods, systems, and general knowledge developed through the course of work.

Moral Rights
Waiver

To the extent permitted under the Copyright Act of Canada, the Contractor waives moral rights in the final deliverables upon full payment, allowing the Client to edit, adapt, or modify the work without further permission.

Confidentiality

All project materials, ideas, and communications are treated as confidential and will not be shared outside the scope of the service without written consent, except where required by law.

Session
Recordings

Sessions may be recorded for the Client’s personal use. Recordings are stored securely and are not shared publicly. Clients may decline recording before the session begins or request deletion of their recording at any time.

Limitation of Liability

To the fullest extent permitted by the laws of British Columbia and Canada, the Contractor shall not be liable for indirect, incidental, special, or consequential damages arising from the services provided. Maximum liability shall not exceed the total amount paid by the Client for the specific service in dispute.

Termination

Either party may terminate services with fourteen days’ written notice. The Contractor may terminate immediately if the Client breaches these Terms or fails to meet responsibilities outlined herein. In the event of termination, the Client must pay for all completed work, and any deposits paid remain non-refundable.

Force Majeure

Neither party shall be liable for delay or failure to perform obligations due to circumstances beyond reasonable control, including illness, internet disruption, natural disasters, or government restrictions.

Dispute Resolution

The parties agree to attempt informal resolution of any dispute prior to pursuing legal remedies. If unresolved, disputes shall proceed to mediation in British Columbia before court proceedings are initiated.

Govering Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

Privacy & Data Protection

Client information is collected and used solely for service delivery and administrative purposes. The Contractor complies with applicable Canadian privacy legislation, including PIPEDA and British Columbia’s Personal Information Protection Act.

If you're signing up for a workshop session...

The 1-Hour Workshop Session is an expanded creative coaching service consisting of one sixty-minute live Zoom session and up to thirty minutes of preparatory review of materials submitted in advance. The purpose of this service is to workshop specific questions, writing samples, or manuscript sections and to provide structured verbal feedback, strategic direction, and creative guidance. This service is consultative in nature and does not constitute a full manuscript evaluation or comprehensive editorial report.

Prepatory Review

The session fee includes up to thirty minutes of advance review time. Clients may submit selected excerpts, questions, or notes prior to the session. The Contractor will review only the materials reasonably capable of being assessed within the allotted thirty-minute preparation window. Submission of excessive material does not extend review time, and materials not reviewed in advance may be addressed only briefly during the live session.

What's Included

The service includes one sixty-minute live coaching session and a follow-up summary email delivered within one to three business days outlining key discussion points and suggested next steps. A recording of the session may be provided unless declined in advance. The follow-up summary does not include written line edits, margin comments, tracked changes, or a formal editorial letter.

Service Limitations

This session does not include full developmental editing, comprehensive manuscript review, ghostwriting, rewriting, or publishing representation. Feedback is delivered verbally during the session and is limited to the scope of time purchased. Continued advisory access, ongoing feedback, or additional written critique requires a separate booking.

Client Participation

The Client agrees to submit materials in a timely manner prior to the session and to attend the scheduled meeting punctually. If materials are submitted less than twenty-four hours before the session, preparatory review time is not guaranteed. If the Client arrives more than fifteen minutes late, the session may proceed for the remaining scheduled time without extension or refund.

Rescheduling & Cancellations

Sessions may be rescheduled with at least twenty-four hours’ notice. Sessions canceled or rescheduled with less than twenty-four hours’ notice, or missed without notice, are non-refundable. All scheduling and cancellation policies remain subject to the General Terms.

Discounted Follow-Up Session

Clients may request one additional sixty-minute session within fourteen days of the original booking at a reduced rate of seventy-five dollars. This discounted rate applies to one session only, is non-transferable, and is non-refundable. Any further sessions will be charged at the standard listed rate at the time of booking.

No Guarantee of Results

The Contractor provides professional creative feedback and strategic guidance; however, no guarantee is made regarding manuscript completion, publication outcomes, commercial success, or reader reception. Implementation and creative execution remain solely the responsibility of the Client.

If you're signing up for an inspiration session...

The 1-Hour Inspiration Session is a single sixty-minute virtual creative coaching session conducted via Zoom. The purpose of this session is to help the Client explore creative blocks, clarify ideas, refine story direction, and receive high-level verbal feedback. The session is consultative and conversational in nature and does not constitute manuscript editing, rewriting, or developmental editing services.

What's Included

The session fee includes one sixty-minute live session and a follow-up email delivered within one to three business days summarizing key discussion points and suggested next steps. A recording of the session may also be provided unless the Client declines recording in advance. The follow-up email is a summary only and does not include written manuscript edits, annotations, or expanded critiques.

Session Boundaries

This service does not include line editing, developmental editing, publishing representation, literary referrals, or ongoing advisory access beyond the scheduled session and follow-up email. The session is limited to the allotted sixty minutes. Additional consultation or continued coaching requires a separate booking at the current listed rate.

Client Participation

The Client agrees to attend the session on time and arrive prepared with relevant questions, materials, or discussion topics. If the Client arrives more than fifteen minutes late, the session may proceed for the remaining scheduled time without extension or refund. Productive outcomes depend on the Client’s willingness to actively engage and implement discussed ideas.

Rescheduling & Cancellations

Sessions may be rescheduled with at least twenty-four hours’ notice. Sessions canceled or rescheduled with less than twenty-four hours’ notice, or missed without notice, are non-refundable. All scheduling remains subject to the General Terms outlined above.

Discounted Follow-up Session

Clients may request one additional sixty-minute session within fourteen days of the original booking at a reduced rate of thirty-five dollars. This discounted rate applies to one session only, is non-transferable, and is non-refundable. Any further sessions will be charged at the standard listed rate at the time of booking.

No Guarantee of Results

The Contractor provides professional creative guidance based on experience and expertise; however, no guarantee is made regarding elimination of writer’s block, productivity levels, publication opportunities, or commercial success. Results depend entirely on the Client’s independent effort and implementation following the session.

Coaching Disclaimer

The 1-Hour Inspiration Session is a creative coaching service and is not therapy, counselling, or psychological treatment. If personal or mental health concerns arise that extend beyond creative guidance, the Contractor may recommend seeking support from a licensed professional.

If you're signing up for a chapter review...

The Chapter Review service provides a professional editorial review of up to 5,000 words of the Client’s manuscript for a fee of $175. This service includes an in-depth reading focused on structure, clarity, flow, and content development. The review is designed to provide constructive feedback on a specific chapter or section and is not a full manuscript evaluation or comprehensive developmental edit.

Word Limit & Scope

The service includes review of a single submission not exceeding 5,000 words. If the submitted material exceeds this limit, the Contractor reserves the right to either review only the first 5,000 words or request additional payment before proceeding. The review includes light in-text edits, comments, and suggested revisions but does not include line-by-line copyediting, proofreading certification, rewriting, or ghostwriting.

Deliverables

Within five to seven business days of confirmed payment and receipt of materials, the Client will receive a marked-up copy of the submission with suggested edits and a one-page written feedback summary outlining strengths, areas for improvement, and strategic recommendations. Turnaround times are estimates and may be adjusted in accordance with workload or circumstances beyond reasonable control.

Revision Policy

This service includes one round of clarification via email regarding the written feedback. It does not include additional editing passes, rewritten drafts, or ongoing developmental guidance unless separately purchased. Substantial follow-up work requires a new booking or additional service agreement.

Add-On Services

The optional recorded feedback session includes up to ten written questions submitted by the Client and a recorded video response of approximately twenty minutes in length. The optional live feedback session includes a scheduled thirty-minute virtual meeting to discuss the provided review. Add-on services must be booked in advance and are non-refundable once delivered.

Client Responsibil-ities

The Client agrees to submit a clean draft ready for review and acknowledges that revisions made after submission are not reflected in the delivered feedback. The Contractor recommends that the Client refrain from making major edits to the submitted chapter until feedback has been received in order to preserve clarity of commentary.

No Guarantee of Publishing Outcome

The Chapter Review provides professional editorial insight; however, no guarantee is made regarding publication, agent representation, sales performance, or reader reception. The Client retains full responsibility for implementation of suggested changes and final manuscript decisions.

If you're signing up for an AI book edit...

The AI Book Edit service provides professional human editing and organizational review of an AI-generated manuscript of up to 25,000 words for a fee of $1,500. This service includes structural editing, clarity revisions, light copyediting, and formatting into organized chapters with a table of contents. The purpose of this service is to refine AI-generated material into a more cohesive and readable manuscript suitable for publication preparation. This service does not constitute ghostwriting or original authorship of the manuscript.

Word Count & Submissions

The base fee covers manuscripts up to 25,000 words. Additional content may be accepted at a rate of $40 per 1,000 words, up to a maximum submission limit of 60,000 words. Word count is determined at the time of submission. The Contractor reserves the right to decline excessively disorganized, incomplete, or substantially rewritten manuscripts after editing has begun.

Editing Scope

The service includes one comprehensive editing pass following approval of a 5,000-word sample edit. The sample edit allows the Client to review editing style before full manuscript work proceeds. Editing includes structural adjustments, clarity improvements, grammar correction, and formatting; however, it does not include fact-checking, plagiarism verification, legal review, or guarantees of originality. The Client remains solely responsible for ensuring the legality and originality of all submitted AI-generated content.

Revisions & Final Changes

After delivery of the edited manuscript, the Client may submit final change requests. Up to three hours of additional revision time is included for incorporating reasonable adjustments. Additional requested revisions beyond this limit may require written approval and additional billing at the Contractor’s standard hourly rate. Substantial rewrites or newly generated material are not included.

Turnaround Time

Turnaround time for full manuscript editing is estimated at ten to fifteen business days following approval of the sample edit. Timelines are estimates only and may be adjusted based on manuscript condition, revision requests, or circumstances beyond reasonable control.

Formatting & Deliverables

The finalized manuscript will be delivered electronically in PDF or Word document format, organized into chapters and including a table of contents. While formatting is provided for structural clarity, the Contractor does not guarantee compatibility with specific publishing platforms, print specifications, or distributor formatting requirements.

AI & Publication Disclaimer

The Client acknowledges that AI-generated content may carry risks related to originality, copyright, duplication, or platform compliance. The Contractor does not guarantee that the edited manuscript will be accepted by publishers, self-publishing platforms, or distributors. The Client assumes full responsibility for compliance with publishing guidelines, intellectual property laws, and AI disclosure requirements.

Cover Art
Add-On

Optional cover art services may be purchased separately for a fee of $100 and include three to five simple draft concepts for front and back cover design. Revisions are not included unless otherwise agreed in writing. Cover design services do not include trademark searches, licensing checks, or publishing compliance review.
